AI Legalese Decoder: Resolving Issues with Obsolete Software Licenses

Background:
Currently, I am facing a critical situation involving my expensive industry-specific design software licenses, which have a combined value of $40,000. These licenses are perpetual, which implies that they never expire. Nevertheless, the sole retailer for this software in Canada handles all sales and support.

Tech Support Challenges:
Unfortunately, accessing tech support requires payment, and the cost is determined by the number of licenses owned. In my case, this amounts to approximately $6,000 per year – a substantial amount that I, as a freelancer, simply cannot afford.

Issues with Obsolete License:
To exacerbate matters, the software developers have actively rendered my oldest license obsolete. They have removed the functionality that allows me to deactivate the software on my computer, thereby preventing any hardware upgrades. The only solution offered is to either pay for an annual subscription or incur exorbitant hourly and processing fees.

Risk of License Breakage:
Even more concerning, the process of deactivating and activating the software using the developer’s license administration tools carries a high risk of breaking the license. I have experienced this twice before, resulting in the need to obtain replacement licenses at a significant cost of over $1,000, in addition to the aforementioned hourly and processing fees.

Recourse and Legal Implications:
Naturally, I am left wondering if there are any potential courses of action or leverage available to me in this situation. Specifically, can software developers legally render perpetual licenses unusable without imposing ongoing fees and expenses?

Snapshot your OS into a Virtual machine and then just move it around each time you get a new machine.

  • NotTheFlyGuy

Yes this is legal and most likely you are SOL. As youÔÇÖre purchasing a license to use the software. You do not physically own the software, thus you would be at the mercy of the license agreement.

Unfortunately this is common practice within the software industry as businesses move models away from 1-Done licenses to subscription based.

  • prenia

Ya just hope they never fine out your trying to get around licensing its how oracle makes a large chunk of the money in audits and fines. a company i know had to pay a million dollar fine as each time they spun up a vm it was a breach of the count of licenses they had purchased from this very industry specific software. It was an accident but did not make difference and ending up settling on a lesser but significant amount.

  • CaptPuff

It doesn’t sound they have actively made the software obselete such that it no longer functions. E.g. through a patch or update.

You will need to check the original license agreement terms and conditions or EULA to see what it says about whether a license is tied/issued to a machine or not.

Likely the act of “transferring” the license to a new machine (based on specific hardware changes that would be considered different enough that it is a new machine) is what the fees are about.
But the software itself sounds like it still functions as is.
Some versions of Microsoft Windows are like this.

This version of software might be old enough that virtualization clauses may not have been baked into the license but that would be a other thing to check just in case they are, before you go down that route.

If this software is business critical then this would be part of the cost of doing business. Be glad that it isn’t a monthly subscription that they can gouge you on.

Why am I not surprised that this sounds like Adobe? Unfortunately, you’re likely at the mercy of the license agreement, seeing as you own only a license to use their software, not the software itself. Check the terms of use for the software; if there is no clause stating that they can call it obsolete at a whim, or if there is a clause stating the opposite, then they are in violation of their own EULA.

So given the costs involved there is likely some return on investment in talking to a lawyer.

  • Fresh-Bit7420

You’ve had long enough to migrate away. I assume they are the only ones doing something you really need.

Either hire someone to crack the licensing or call them and trying to negotiate their annual sub cost down.

  • Rwhiteside90

    Who’s the software vendor?

  • c0ntra

Virtualize it, sometimes it works sometimes it doesn’t.

  • 150c_vapour

What software are you using? Solidworks? There are cracked versions that work well. Altium? Switch to kicad.

  • stillanoobummkay

What industry is this in? Is it possible for you to hire someone to adapt an open source library or something?

For 40k that seems like a pretty good project.

  • Grouchy_Factor

Some company’s software is written to be extremely anal when it comes to checking itself for license compliance ( i.e. Autodesk, because of the high temptation for cash-strapped students to pirate it). The software will actively seek out net connections to report changes in configuration or IP addresses. Best that could happen (without being sued) is remote disabling of the software, but the bad part is that proprietary files created on it become inaccessible and all your work is lost.

  • NexxiumSpin

    Rockwell Automation/FactoryTalk license by chance?

Definitely look into the many VM suggestions, best option to prevent these headaches.

  • Lieutenant_L_T_Smash

    Terrible advice ITT.

Your license forms part of the contract you agreed to when you made the purchase. ***What does the license say?***

If the vendor is violating the terms of its own license, they are breaking the contract and you are at least entitled to a partial refund of your purchase. However, no one can give you any answer without seeing the license to know if any violation has actually occurred.
