    While you can bring in business partners using equity only, you cannot hire employees unless you pay at least minimum wage, plus any applicable overtime, vacation, &c.

    If you’re not clear on the distinction, a useful yardstick is whether you can terminate your relationship with them without their agreement. If you can, then they’re a lot more likely to be an employee than a business partner.

    For what it’s worth, bringing on a fellow officer as a business partner isn’t unreasonable. You just need to be sure you’re both on the same page about it and that you have a solid operating agreement to cover you in case the business never makes it to the VC stage.
