## Common Deal Breakers for Service Provider Contracts with Due Diligence

When entering into agreements with service providers, there are certain deal breakers that can often arise during the due diligence process. These deal breakers can range from issues related to liability and indemnification clauses to data security and confidentiality concerns. It is important for both parties to carefully review and negotiate these terms to ensure a mutually beneficial agreement.

One common deal breaker is the lack of clear language regarding the scope of services and deliverables. Unclear or vague language can lead to misunderstandings and disputes down the road. Hard to say as Due Diligence covers literally everything! Sometimes purchasers just put a due diligence clause in an agreement to make their offer look tidier (even though they only plan to get a builders report or LIM report), but other times people get extra reports such as electrical, asbestos, water testing (if property isn’t on town supply), geotechnical report etc and can even be a good condition if the title looks a bit messy (as it’s easier to cancel an agreement with a DD condition compared to the title requisition).

Or have I read your question wrong and you’re wondering if it’d be a deal breaker for a vendor to accept an offer with a DD clause?
