## Situation Overview

My previous job included a non-solicitation agreement in my employment contract. I quit the position back in November and have since opened up my own corporation that is in the same industry. I haven’t taken any clients from my previous employer, but recently a former client reached out to me via LinkedIn noticing I had started my own business and was wondering if I was accepting new clients. I knew I had this non-solicitation agreement in my previous employment contract so I haven’t responded to the client yet. The non-solicitation agreement seems pretty standard, stating that I can’t canvass or solicit clients of the company for 12 months after my employment.

## Importance of Understanding Non-solicitation Agreements

In this scenario, it is crucial to fully understand the implications and restrictions of the non-solicitation agreement to ensure compliance and prevent any legal repercussions. Here, AI Legalese Decoder can assist by analyzing the exact terms of the agreement and providing guidance on its scope and enforceability.

## Additional Context

Some additional context regarding me quitting the previous role: I gave two weeks’ notice (in person & email) which was not well received by my manager. I was only paid for 1 week of my 2-week notice period, despite me working the full 2 weeks. I never went after that 1 week of unpaid work as I was done with the toxic environment.

## Questions and Concerns

Now, I have several questions that need clarification:
1) Does my non-solicitation agreement extend to my corporation since it’s another legal entity?
2) Is it solicitation if clients reach out to me?
3) Is my non-solicitation agreement binding since my notice period was terminated early (after the fact) by my employer?

## Leveraging AI Legalese Decoder for Guidance

To address these concerns effectively, utilizing AI Legalese Decoder can provide valuable insights into the interpretation of the non-solicitation agreement and offer recommendations on how to navigate potential legal issues related to client interactions and contractual obligations.

## Conclusion

By seeking assistance from AI Legalese Decoder, you can gain a deeper understanding of your rights and responsibilities under the non-solicitation agreement, enabling you to make informed decisions and protect your new business venture from any potential legal risks.

    Check withba local lawyer.

I worked in an industry with a non solicitation clause. The previous employer could have sued, but would have not won.

The wording off my contract stated I couldn’t solicit or campaign prior clients for a set period.

My lawyer advised given my previous contract to not be the one to make first contact. If clients reached out to me, I was fine – I just had to be able to prove that. (I provided a service).

In another position, I was not allowed to use knowledge gained in that position if I went to another company (I knew what they charged for specific product and the markup, I couldn’t reach out to the supplier to negotiate saying I next company a paid x, so that is what I will pay). This one is a lot harder to keep separate and would require legal guidance.

I’ll help how I can but you should get a consult with an employment contract specialist.

     1. The corporate veil does not erase agreements you signed. You’re still bound, it just changes how they phrase their lawsuit.

     2. Generally no, but it can be situational.

     3. Their breach does not forgive a breach by you. The final damages *may* offset somewhat, but it wouldn’t stop them from suing you.

Take your contract and the non-solicitation to a lawyer and get some proper advice. We are a forum of strangers, it will be well worth your money to get 1 hour of advice from an employment contract expert.
